terms of service

agreement to terms

by using teni (the "service"), you agree to these terms. if you don't agree, don't use teni. teni is provided by teni, inc. ("we," "us," "our").

eligibility

you must be at least 18 years old and a resident of the united states to use teni. you're responsible for any accounts created under your name.

your account

you're responsible for maintaining the confidentiality of your account and password. you're liable for all activity under your account. if you notice unauthorized access, tell us immediately. we reserve the right to suspend or delete accounts that violate these terms or engage in fraud.

use of the service

you agree to use teni only for legal purposes and in accordance with these terms. you won't:

• use teni for tax fraud, money laundering, or illegal activity
• reverse-engineer, hack, or attempt to access teni's systems
• use teni to harass, threaten, or harm others
• scrape or automatically download large amounts of data from teni
• share your account with others or use someone else's account

subscription and cancellation

some teni features require a paid subscription. if you purchase a plan, you'll be charged on a recurring basis (monthly or annual, your choice). you can cancel anytime; your subscription ends at the end of your current billing period. if you cancel mid-period, you keep access through the end of the billing cycle. no refunds for partial months.

we offer a 30-day money-back guarantee on all paid plans. if you're unsatisfied, contact us within 30 days of purchase for a refund.

free features

teni offers free features including basic income and expense tracking. free features may be limited or discontinued at any time. we'll give you reasonable notice if we remove free features you're using.

disclaimers: not tax advice, not a bank

teni is not tax advice. teni is a tool that helps you prepare your taxes, but it's not a substitute for working with a qualified tax professional. the irs and tax laws are complex. teni may make errors. before filing, have a qualified cpa or tax professional review your return.

teni is not a bank. teni does not hold deposits or issue credit. teni money is a debit card and checking account offered in partnership with a bank that's a member of the fdic. your teni money funds are insured up to $250,000 by the fdic.

teni is not a tax preparer or enrolled agent. teni does not file taxes on your behalf. you prepare and file your own return (with optional cpa review). teni is software, not a service.

sam sees is ai, not gospel. sam categorizes expenses and identifies deductions, but ai can be wrong. always verify categorizations and deductions before filing.

limitations of liability

to the fullest extent allowed by law:

• teni is provided "as is" without warranties of any kind
• teni is not liable for errors in tax calculations, missed deductions, or audit outcomes
• teni is not liable for service outages, lost data, or security breaches (though we work hard to prevent them)
• teni's total liability to you is limited to the amount you paid for teni in the past 12 months

some jurisdictions limit liability disclaimers. to the extent prohibited by law, we disclaim liability only to the maximum extent allowed.

indemnification

you agree to defend and indemnify teni against any claims, damages, or costs (including lawyers' fees) arising from your use of teni, violation of these terms, or infringement of any rights.

dispute resolution

any dispute arising from these terms or your use of teni will be governed by the laws of new york and brought in the state or federal courts of new york. you agree to resolve disputes in these courts and not through arbitration (unless both parties agree). if you live outside the united states, you consent to jurisdiction in new york courts.

intellectual property

teni and all of its content (design, text, code, sam sees, etc.) are owned by teni, inc. and are protected by copyright and other intellectual property laws. you may not copy, modify, distribute, or create derivative works without permission. limited exception: you may use teni and export your own data for personal tax purposes.

third-party services

teni integrates with third-party services (stripe, square, your bank, etc.). we're not responsible for those services. read their terms and privacy policies. if you have issues with a third-party service, contact them directly.

changes to these terms

we may update these terms at any time. we'll notify you via email of material changes at least 30 days before they take effect. continued use of teni after the notice means you accept the updated terms.
